Terms of Use1. General Provisions
1.1. These Terms of Use (hereinafter the "Terms") govern access to and use of an online technological interface designed for the performance of certain exchange operations involving virtual assets and digital tokens (hereinafter the "Service" or the "Platform").
1.2. By accessing, browsing, or otherwise using the Service in any manner, any person or entity (hereinafter the "User") irrevocably acknowledges that they have read, understood, and agree to be bound by these Terms, as they may be amended, supplemented, or restated from time to time.
1.3. The Service is made available by an operator or group of operators, whether acting individually or jointly (hereinafter collectively the "Operator"). The Operator provides a technical infrastructure enabling Users to submit instructions in relation to the exchange of virtual assets. The Operator is not required to identify itself by legal name, trade name, brand, or domain for the purposes of these Terms, and the User expressly agrees that such omission does not affect the validity, binding nature, or enforceability of these Terms.
1.4. If the User does not agree with any provision of these Terms, the User must immediately cease any use of the Service and must not access, visit, or otherwise interact with the Platform.
2. Scope and Nature of the Service
2.1. The Service constitutes a technological and informational environment enabling Users, on a non-exclusive, limited, and revocable basis, to submit requests for the exchange of one virtual asset or digital token (the "Source Asset") into another virtual asset or digital token (the "Target Asset"), based on quotations, rates, or other parameters (collectively, the "Rates") made available via the Platform.
2.2. The Service shall not be construed as, and the Operator does not represent itself to be: (a) a bank, deposit-taking institution, or other credit institution; (b) an investment firm, broker-dealer, portfolio manager, investment advisor, or other provider of regulated investment services; (c) a payment institution, electronic money institution, money service business, money transmitter, or other provider of regulated payment or remittance services; (d) a marketplace, trading venue, exchange, multilateral trading facility, organized trading facility, or any other form of regulated execution venue for financial instruments.
2.3. The Operator does not provide fiduciary services, financial advice, investment advice, tax advice, legal advice, or accounting services, nor does it provide any recommendations as to the acquisition, holding, or disposal of any virtual asset or as to any particular transaction, usage, or strategy. Any decision to use the Service is taken solely by the User at their own discretion and risk.
2.4. The User acknowledges that the Service may rely on, interface with, or otherwise utilize third-party protocols, distributed networks, smart contracts, liquidity providers, and other external infrastructure elements (collectively, "Third-Party Infrastructure"). The Operator does not own, control, or operate such Third-Party Infrastructure and accepts no responsibility or liability for their functioning, security, availability, or performance.
3. Eligibility and User Representations
3.1. By using the Service, the User represents, warrants, and undertakes that: (a) the User has full legal capacity, power, and authority to enter into and perform obligations under these Terms; (b) the User is not prohibited, restricted, or otherwise limited from using services involving virtual assets under any applicable laws, regulations, or administrative or judicial decisions; (c) the User is not a resident, citizen, or located in any jurisdiction where the use of services involving virtual assets or the type of Service contemplated herein is prohibited or requires licensing, registration, or authorization not held by the Operator; (d) the User is acting on their own behalf and not as agent, nominee, intermediary, or trustee for any third party, unless such representation is permitted under applicable law and all necessary consents and disclosures have been obtained.
3.2. The User is solely responsible for determining whether the use of the Service is lawful and compliant in any jurisdiction that may be relevant to them. The Operator does not make, and shall not be deemed to have made, any representation or warranty as to the legal status of the Service or of any virtual asset in any jurisdiction.
3.3. The User undertakes to immediately discontinue use of the Service and cease accessing the Platform if any of the representations and warranties set out in this Section 3 become inaccurate, incomplete, or misleading.
4. Access, Identification, and User Information
4.1. The Operator may, in its sole and absolute discretion, grant or deny access to the Service, with or without prior registration or the creation of any user account, and may at any time introduce, modify, or remove identification, authentication, or verification procedures.
4.2. The Operator may request from the User any information it deems appropriate for purposes including, but not limited to, identification, verification, risk assessment, transaction monitoring, or compliance checks. Such information may include elements typically collected in connection with know-your-customer (KYC) or anti-money-laundering (AML) procedures. The scope, frequency, and methods of such procedures shall be determined exclusively by the Operator.
4.3. The User agrees to provide accurate, complete, and up-to-date information upon request and acknowledges that failure to do so may result in denial, restriction, suspension, or termination of access to the Service.
4.4. The Operator shall have no obligation to accept any User or to process any request for access or registration, and may decline, delay, or cancel any request or transaction at its sole discretion, without any obligation to provide reasons, and without incurring liability.
5. Execution of Exchange Transactions
5.1. The Service may display indicative or executable Rates and related information concerning the exchange between Source Assets and Target Assets. Such information may be derived from multiple sources, including external exchanges, liquidity providers, data aggregators, or internal pricing algorithms.
5.2. The User acknowledges that Rates are subject to continuous change due to market conditions, supply and demand, liquidity parameters, and other factors beyond the Operator's control. The Operator does not guarantee the availability of any particular Rate unless explicitly and unambiguously confirmed at the moment of transaction execution.
5.3. An exchange transaction shall be deemed initiated when the User: (a) selects the Source Asset, Target Asset, and amount to be exchanged; (b) reviews the applicable Rate, any fees or commissions, and other relevant conditions; (c) sends the specified amount of the Source Asset to the address or destination designated by the Service.
5.4. The User is solely and fully responsible for the correctness of all transaction details, including the type, contract, and network of the Source Asset; the amount of the Source Asset to be sent; the type, contract, and network of the Target Asset; and the receiving address for the Target Asset.
5.5. The Operator shall not be liable for any loss, delay, misallocation of funds, or other adverse consequences resulting from incorrect address selection, network selection, or omission of required destination tags.
5.6. The Operator may, but is under no obligation to, offer temporary Rate fixation or guarantees for a limited time window. If the User's transfer of the Source Asset is not completed within the indicated period, the Operator may recalculate the Rate, cancel the transaction, or apply different terms, at its sole discretion.
5.7. A transaction shall be considered completed once the Target Asset has been transmitted by the Operator to the receiving address specified by the User and the corresponding transaction has been broadcast to the relevant blockchain network.
6. Fees and Other Charges
6.1. The Operator may charge fees, commissions, spreads, or other consideration (collectively, "Fees") in connection with the use of the Service and the execution of transactions.
6.2. Fees may be displayed explicitly as separate items, embedded or reflected in the Rate, or structured in any other form the Operator considers appropriate.
6.3. The User acknowledges and agrees that Fees may vary over time, between Users, asset pairs, or transaction volumes, and may be adjusted or restructured at any time without prior announcement.
6.4. Initiating a transaction after Fees have been displayed or otherwise communicated to the User constitutes the User's express consent to the Fees applied.
7. Risks and Disclaimers
7.1. The User understands and accepts that virtual assets and digital tokens are subject to extreme price volatility, may have uncertain legal status, and may be exposed to sudden changes in liquidity, regulation, or technological environment.
7.2. The User expressly acknowledges and assumes risks including market risk, liquidity risk, technical risk, operational risk, regulatory risk, and third-party risk.
7.3. The Operator provides no guarantee regarding profitability, suitability, uninterrupted operation, or the future value of any virtual asset.
7.4. The Service and all related information and functionality are provided on an "as is" and "as available" basis, without any express or implied warranties.
7.5. No communication on or through the Service shall be construed as a recommendation, solicitation, or offer to buy, sell, or hold any virtual asset.
8. Taxes and Regulatory Obligations
8.1. The User is solely responsible for determining, declaring, and fulfilling any tax obligations that may arise from the use of the Service.
8.2. The Operator does not provide tax, accounting, or legal advice and does not assume any responsibility for the determination of whether any transaction is subject to reporting or taxation in any jurisdiction.
8.3. The User undertakes to comply with all applicable tax and regulatory laws and to file all necessary returns and reports.
9. Prohibited Uses
9.1. The User shall not use the Service for any unlawful, fraudulent, abusive, or otherwise prohibited purposes, including activities that may be qualified as money laundering, terrorist financing, or violation of economic sanctions.
9.2. The Operator may, at its sole discretion, suspend, restrict, or terminate the User's access to the Service if it reasonably suspects any violation of these Terms or any involvement in inappropriate or high-risk activities.
10. Intellectual Property
10.1. All content, design elements, interfaces, source code, logos, trademarks, and other materials associated with the Service are protected by intellectual property rights and are owned or duly licensed by the Operator.
10.2. The User is granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for the purpose of using the Service in accordance with these Terms.
10.3. The User shall not copy, reproduce, modify, adapt, translate, distribute, display, publish, reverse engineer, or otherwise exploit the Content in any manner not expressly authorized by the Operator.
11. Limitation of Liability
11.1. To the maximum extent permitted by applicable law, the Operator Parties shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with the use of the Service.
11.2. If any liability of the Operator is nevertheless established, such liability shall not exceed the total amount of Fees actually paid by the User to the Operator in connection with the specific transaction giving rise to the claim.
11.3. The limitations set forth in this Section 11 shall apply irrespective of the legal basis of the claim.
12. Indemnification
12.1. The User agrees to indemnify, defend, and hold harmless the Operator Parties from any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses arising out of or related to the User's breach of these Terms, violation of any applicable law, or use or misuse of the Service.
12.2. The Operator reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by the User.
13. Suspension and Termination
13.1. The Operator may, at its sole and absolute discretion, without prior notice, suspend, restrict, or terminate the User's access to the Service for suspected or actual breach of these Terms, illegal activity, technical reasons, or compliance with legal requests.
13.2. The User may cease using the Service at any time. Such cessation shall not affect any rights or obligations that have arisen prior to the date of cessation.
13.3. Upon termination of access, the Operator shall have no obligation to maintain or retain any data or content related to the User, except where retention is required by applicable law.
14. Amendments
14.1. The Operator may amend, modify, or supplement these Terms at any time, at its sole discretion.
14.2. Any such amendments shall become effective upon their publication via the Service.
14.3. Continued use of the Service after the effective date of amendments constitutes the User's full acceptance of the amended Terms.
15. Governing Law and Dispute Resolution
15.1. These Terms shall be governed by general principles of contract law.
15.2. The User and the Operator shall endeavor to resolve any dispute through good-faith negotiations.
15.3. If a dispute cannot be resolved amicably, it may be submitted to a competent court or, where mutually agreed, to arbitration or another alternative dispute resolution mechanism.
